Compliance & Disclosures

Key immigration, investment and regulatory disclosures relevant to GGBA EB-5 and the EB-5 Regional Center Programme.

Important: EB-5 combines US immigration requirements with an at-risk investment. Immigration eligibility and investment suitability are separate questions, and neither immigration approval nor return of capital can be guaranteed.

1. Our role

GGBA EB-5 is a specialist service of Greengate Business Associates Ltd. Unless expressly stated in a separate written engagement, GGBA EB-5 is not acting as a US immigration law firm, broker-dealer, investment adviser, Regional Center, new commercial enterprise (NCE) or job-creating entity (JCE).

2. Immigration advice

Formal US immigration advice should be obtained from appropriately qualified US immigration counsel. General explanations on this website are educational and do not constitute an assessment of an individual’s eligibility.

3. Investment and securities information

Nothing on this website is a personal investment recommendation. EB-5 capital must be at risk and investors can lose some or all of their capital. Project completion, job creation, immigration outcomes, investment returns, exit timing and repayment of principal cannot be guaranteed.

4. Specific EB-5 offerings

Any specific EB-5 securities offering should be evaluated solely on the basis of the relevant issuer’s official offering documents, including applicable risk disclosures, subscription documentation and other project materials. Prospective investors should obtain independent legal, tax, financial and investment advice appropriate to their circumstances.

5. UK financial-promotion considerations

This public website is intended primarily to provide general educational information. Communications relating to specific investments may be subject to the UK financial-promotion regime and other applicable securities laws. Any such communications will be handled separately and subject to the applicable legal and regulatory framework.

6. EB-5 promoter requirements

Specific promotion of Regional Center offerings may also be subject to US EB-5 promoter-registration and integrity requirements, including USCIS Form I-956K, as well as applicable US securities-law requirements. Where GGBA undertakes activities that fall within such requirements, those activities should be carried out under the relevant written arrangements and compliance framework.

7. Independent project assessment

The appearance, discussion or introduction of an EB-5 project does not amount to a guarantee or endorsement of its commercial performance. Investors should assess the sponsor, Regional Center, capital structure, job-creation methodology, security arrangements, development status, conflicts of interest, risks and intended repayment strategy.

8. Current investment thresholds

The standard EB-5 minimum investment is currently $1,050,000, reduced to $800,000 for qualifying Targeted Employment Area investments and certain qualifying infrastructure investments. Requirements can change and current rules should be verified at the time of any application or investment decision.
